The General Partner is Webtel.mobi (Holdings) Limited of 80 Broad Street, Monrovia, Republic of Liberia. The Limited Partner is Webtel.mobi (Holdings) Limited of Hamchako, Mutsamudu, Autonomous Island of Anjouan, Union of Comoros – the “Partners”.
The location of General Settlement is the online Platform of the Limited Partner, and the jurisdiction of General Settlement is the jurisdiction of the Limited Partner. Locations and jurisdictions of General or Specific Settlement may be varied on a case-by-case basis, as determined by the Partners, according to applicable Deeds of Settlement.
The primary application of the Trust’s activities, services and functions will be carried out via, and over, the Platform of the Limited Partner and the Limited Partner’s Affiliates (VSMPs). All Services provided by the Limited Partner and its VSMPs in all respects are provided to Members of the Limited Partner and its VSMPs over, and within, the Limited Partner’s Closed Loop Members Only Service and Platform. The Trust Services will be automatically integrated into the Limited Partner’s overall services where appropriate and/or required, and will also be automatically integrated with, into or together with the Limited Partner’s and its VSMPs’ Specialized Telecommunications services and/or other licensed subsidiaries’ services – which also provide their services over and via the Limited Partner’s Platform – as and when required
The secondary application of the Trust’s activities, services and functions are for its respective activities, services and functions to be provided and carried out to, with or via other entities and/or parties, and/or Correspondent Entities, and/or other entities from time to time, on a case by case basis, as approved and authorized by the Partners.
The tertiary application of the Trust’s activities, services and functions are for it to, on a case by case basis, from time to time, as authorized or requested by the Partners, assist the Partners to enter into agreements or ventures, or to provide related or unrelated facilities or services to, or to acquire related or unrelated facilities or services third party providers, for the Partners and/or for clients.
